MTN Nigeria Discloses Vesting of Employee Share Awards Under Ownership and Performance Plans

MTN Nigeria Communications Plc has disclosed the vesting of shares on selected employees under its Employee Share Ownership Plan (ESOP) and Performance Share Plan, according to a filing submitted to the Nigerian Exchange Limited (NGX).

The disclosure, signed by the Company’s Secretary, Uto Ukpanah, showed that 129,129 shares vested on six employees between March 30 and March 31, 2026, in line with the terms of the company’s long-term employee incentive programmes.

According to the filing, Omolara Micheal-Nwadu received the largest allocation of 99,122 vested shares, while the remaining shares were distributed among five other employees under the approved share schemes.

MTN Nigeria clarified that the vesting of shares does not represent a purchase or sale transaction in the market. Rather, it reflects the transfer of previously awarded shares to eligible employees following the satisfaction of applicable vesting conditions.

Employee share ownership and performance-based incentive plans are commonly used by listed companies to align employee interests with long-term corporate performance and shareholder value creation.

The notification was released on June 18, 2026, as part of MTN Nigeria’s regulatory disclosure obligations to the investing public.
