Fidelity Bank Shareholders Approve Board Appointments, Receive 2025 Audited Financial Statements

Fidelity Bank Plc has secured shareholder approval for key board appointments and governance decisions at its 38th Annual General Meeting (AGM), held virtually on Friday, October 9, 2026.

The bank disclosed the resolutions in a regulatory announcement signed by its Company Secretary, Ezinwa Unuigboje, following the meeting attended by shareholders through its official online platform.

Shareholders formally received the bank’s audited financial statements for the year ended December 31, 2025, alongside the reports of the directors, external auditors, statutory audit committee and independent board appraisal consultants.

As part of the board resolutions, shareholders approved the election of Dr. Jonathan O. Ososuakpor as a Non-Executive Director and the re-election of Mrs. Amaka Onwughalu as Chairman and Non-Executive Director.

The meeting also approved the retirement of Chief Nelson Nweke as a Non-Executive Director, effective October 9, 2026.

In another resolution, shareholders authorised the board to determine the remuneration of the bank’s external auditors for the 2026 financial year.

They also acknowledged the remuneration of the bank’s managers as disclosed in Note 40 of its 2025 audited financial statements.

The AGM further approved the composition of a five-member Statutory Audit Committee, comprising three shareholder representatives and two board representatives.

The committee members are Chief Frank Onwu, Mr. Innocent Mmuoh and Alhaji Kabiru Tambari as shareholder representatives, alongside Alhaji Abdullahi Mohammed, an Independent Non-Executive Director, and Ms. Obiaku Okam, a Non-Executive Director.

The committee will serve from October 9, 2026, until the bank’s next Annual General Meeting, in accordance with Section 404 of the Companies and Allied Matters Act, 2020.

The resolutions formalise Fidelity Bank’s board composition and audit oversight arrangements as the lender continues its operations under Nigeria’s evolving banking regulatory environment.

The announcement did not disclose any new dividend declaration, capital-raising approval or changes to the bank’s executive management.
