NEM Insurance Shareholders Approve 150 Kobo Dividend at 56th AGM

NEM Insurance Plc shareholders have approved a dividend payout of N1.50 per ordinary share for the 2025 financial year following the company’s 56th Annual General Meeting held in Lagos on May 14, 2026.
The approval was part of several resolutions passed during the meeting held at the Shell Hall of the MUSON Centre, Lagos, where shareholders adopted the company’s audited financial statements for the year ended December 31, 2025, alongside the reports of directors, auditors and the audit committee.
Under the approved resolutions, shareholders whose names appeared on the company’s register as of April 14, 2026 qualified for the dividend payment.
Shareholders also approved the re-election of Mrs. Abisola Giwa-Osagie, Chief Anthony Aletor and Dr. Daphne Dafinone as directors of the company.
In addition, the board received authorization to fix the remuneration of the company’s external auditors for the 2026 financial year.
The meeting also approved the appointment and election of members of the company’s statutory audit committee until the next Annual General Meeting.
The approved committee members include Mr. Kelechi Okoro and Mrs. Abisola Giwa-Osagie as Non-Executive Directors, alongside shareholder representatives Mr. Christopher Ogba, Mr. Taiwo Oderinde and Mr. Samuel Mpamaugo.
Shareholders further noted the remuneration of the company’s management team as presented during the meeting.
As part of the special resolutions passed, shareholders ratified the remuneration of Non-Executive Directors for the financial year ending December 31, 2026.
Investors also renewed the company’s general mandate authorizing NEM Insurance and its related entities to enter into recurrent related-party transactions necessary for day-to-day business operations, including procurement activities and service agreements conducted on normal commercial terms.
The mandate will remain valid until the company’s next Annual General Meeting.
The resolutions were disclosed in a corporate filing signed by Company Secretary, Ifunanya Iwuagwu.
NEM Insurance remains one of the notable players in Nigeria’s insurance industry, with operations spanning general insurance, oil and gas, marine, aviation and other non-life insurance segments.
